Ms. Neerja Sharma

Company Secretary & Chief Compliance Officer

Neerja graduated in Honours ( Commerce ) from Delhi University and went on to complete her CS from the Institute of Company Secretaries of India.

She joined Ballarpur Industries Limited (BILT) as a Management Trainee and steadily climbed the corporate ladder and became part of the senior leadership team. She was Vice President & Company Secretary when she left BILT after 16 years of remarkable contribution to the organization. She was part of the core team that led major corporate events, large scale funding, group restructuring etc. The Corporate Secretarial department also received ISO 9001-2001 certification during her tenure.

Thereafter, she worked with Fortis Healthcare Limited as Director - Secretarial Affairs & Company Secretary. During her stint in Fortis, she effectively led the large and complex maiden IPO of Fortis and also helped in establishing systems for ensuring compliance of listing requirements including those of Corporate Governance. She initiated the process of putting in place an ESOP Scheme for the first time in Fortis.

At Cairn India, she joined as Company Secretary in 2008 and was very soon given the additional and independent charge of other core functions, viz. Risk Assurance, Corporate Communication and Internal Audit. She was responsible for all corporate governance and compliance related matters for the Cairn India Group including its Indian and overseas subsidiaries. Her efforts on corporate governance contributed to, Cairn India being awarded Golden Peacock Award for Excellence in Corporate Governance in the year 2012.

Neerja has worked closely with the Boards of the respective Companies on various strategic issues, and dealt with internal and external stakeholders in India and in several other countries – including UK, Australia, Netherlands.She plays a pivotal role in its functioning and provides guidance to Board members.

At Hero MotoCorp, Neerja has been working on ensuring the highest standards of ethics and transparency in our corporate governance and working closely with the Board of Directors, the Hero Leadership team, external stakeholders, shareholders, and regulatory bodies.
